Welcome to Nexurah. By accessing our website at nexurah.in or engaging our services, you agree to be bound by these Terms and Conditions. Nexurah is an IT services company based in India, providing Web Development, Mobile App Development, UI/UX Design, Software Development, AI & Automation, Cloud & Hosting, E-commerce Solutions, and Maintenance & Support services. Please read these terms carefully before proceeding.
Nexurah offers the following categories of IT services to individuals and businesses:
The exact scope of each engagement is defined in a Statement of Work (SOW) or Project Agreement issued at the start of every project. The SOW takes precedence for project-specific details.
Retainer / Advance
All projects require a minimum 50% advance payment before work begins. This retainer is non-refundable as it secures your development slot and covers initial planning, design, and engineering resources.
Milestone Billing
Remaining payments are tied to agreed project milestones. Milestone completion is confirmed by client sign-off. Invoices are due within 7 calendar days of issue.
Late Payments
Invoices overdue by more than 14 days may result in a pause on development work. Nexurah reserves the right to charge a 2% monthly administrative fee on outstanding balances.
Upon receipt of full and final payment, Nexurah transfers all intellectual property rights of the custom-built product (code, design assets, database schemas) to the client.
Nexurah retains the right to use generic components, UI libraries, boilerplate code, and proprietary internal frameworks developed independently. Clients receive a perpetual, royalty-free license to use these as part of their delivered product.
Nexurah may showcase completed projects in our portfolio unless the client formally requests confidentiality in writing before project completion.
Nexurah provides a 30-day free bug-fix warranty after the final delivery of any project. This covers technical defects and deviations from the agreed specifications only.
Post-warranty support and maintenance are available through our Maintenance & Support packages, which are billed separately on a monthly basis.
The warranty does not cover changes in scope, new feature requests, third-party service outages (hosting providers, payment gateways), or issues arising from client-side modifications.
Nexurah's total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
We are not liable for indirect, incidental, or consequential damages including but not limited to loss of business profits, data loss, or business interruptions caused by third-party services such as AWS, Vercel, Google Cloud, Razorpay, or Stripe outages.
Clients agree to provide the necessary materials (content, branding assets, API keys, access credentials) in a timely manner. Delays in providing required materials that impact project timelines are not the responsibility of Nexurah.
Clients are responsible for ensuring that any third-party content, logos, or materials provided to Nexurah are legally owned or licensed for use.
Either party may terminate a project engagement with a written notice. Upon termination, the client is responsible for payment of all work completed up to the date of the termination notice. Work in progress and completed deliverables will be handed over after all outstanding dues are cleared.
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
